End User License Agreement

Acceptance of these terms

This End User License Agreement ("Agreement") is between you ("you" or "User") and WebLaunch.ca ("WebLaunch", "we", "us"), based in Kelowna, British Columbia, Canada. It governs your access to and use of the software applications we build and operate, including any QuickBooks Online integration (each, the "App"). By installing, accessing, or using the App, you agree to this Agreement. If you do not agree, do not use the App.

License grant

Subject to your compliance with this Agreement, WebLaunch grants you a limited, non-exclusive, non-transferable, revocable license to access and use the App for your internal business purposes. This license does not transfer any ownership of the App to you.

The service

The App provides the features described to you at the time of use, which may include connecting to third-party services such as QuickBooks Online to read or write business data on your behalf. Features may change, improve, or be discontinued over time.

Your responsibilities

You agree to: - Provide accurate information and keep your account credentials secure. - Use the App only for lawful purposes and in compliance with this Agreement. - Ensure you are authorized to connect any account you link (for example, that you have authority to connect a QuickBooks Online company). - Be responsible for activity that occurs through your account.

QuickBooks and Intuit

If the App connects to QuickBooks Online, your use of QuickBooks is also governed by Intuit's own terms and policies. You authorize the App to access your QuickBooks data through Intuit's OAuth process solely to provide the features you enable. You can revoke this access at any time from within the App or your QuickBooks account. WebLaunch is an independent developer and is not affiliated with, endorsed by, or sponsored by Intuit Inc. "Intuit" and "QuickBooks" are trademarks of Intuit Inc.

Acceptable use

You agree not to: - Reverse engineer, decompile, or attempt to extract the source code of the App, except where permitted by law. - Interfere with or disrupt the App, its security, or its infrastructure. - Access data you are not authorized to access, or use the App to violate any law or third-party rights. - Resell, sublicense, or provide the App to third parties without our written permission.

Intellectual property

The App, including its software, design, and content, is owned by WebLaunch or its licensors and is protected by intellectual property laws. You retain ownership of your own data. You grant us the limited rights needed to process your data to operate the App, as described in our Privacy Policy.

Data and privacy

Our handling of your information, including data accessed through QuickBooks Online, is described in our Privacy Policy at weblaunch.ca/legal/privacy. By using the App, you acknowledge that policy.

Disclaimer of warranties

The App is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or that data synced with third-party services will always be accurate or complete.

Limitation of liability

To the maximum extent permitted by law, WebLaunch will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or revenue, arising from your use of or inability to use the App. Our total liability for any claim relating to the App will not exceed the amount you paid us for the App in the 12 months before the claim, or CAD $100 if you paid nothing.

Term and termination

This Agreement applies while you use the App. You may stop using the App and disconnect any linked services at any time. We may suspend or terminate your access if you breach this Agreement or to protect the security or integrity of the App. On termination, your license ends. We will revoke stored access tokens and delete associated third-party data (including QuickBooks data) in accordance with our Privacy Policy.

Governing law

This Agreement is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The courts located in British Columbia will have jurisdiction over any disputes.

Changes to this Agreement

We may update this Agreement from time to time. When we do, we will revise the "Last updated" date above. Continued use of the App after changes take effect constitutes acceptance of the updated Agreement.
